A performer had received a talent agreement for a digital drama series going to a regional streaming platform. The agreement was long — 34 pages — with a broad IP ownership clause the client had not noticed. Signing deadline was one week away.

Challenge

An established music producer was in dispute with a co-writer over the interpretation of a royalty-sharing clause in a collaboration agreement signed three years earlier. The clause was ambiguous. Neither party had sought legal advice before signing. Royalties at issue covered streaming and synchronisation income over 18 months.

Margenta prepared a written analysis of the clause under Malaysian contract law, identifying the most defensible interpretation and the arguments available on each side. The analysis was used as the basis for a structured negotiation between the parties' representatives. Margenta advised through the negotiation process.
